General Terms and Conditions of Sale

Preamble

These General Terms and Conditions of Sale (hereinafter the "GTC") govern the entirety of the contractual relations between the company FRAME (hereinafter "Frame", "the Service Provider" or "we") and any natural person placing an order for its services on the platform accessible at https://app.framegrading.com (hereinafter the "Client" or "you").

By validating their order, the Client acknowledges having read these GTC and accepts them without reservation. This acceptance is evidenced by an electronic signature, which has, between the parties, the same legal value as a handwritten signature.

Frame reserves the right to modify these GTC at any time. The applicable version is the one in force on the date the order is validated. Any revised version takes effect upon its publication on the site and, where applicable, is subject to renewed acceptance by the Client upon their next login.

The reference language of the contract is French; this English text is provided for information purposes.

Article 1 — Identification of the service provider

The service is published by:

FRAME, a simplified joint-stock company (SAS) with a share capital of €1,000.00.

For any question relating to these GTC or the services, the Client may write to support@framegrading.com.

Article 2 — Definitions

In these GTC, the following terms have the meanings set out below:

Article 3 — Legal nature of the contract

The contract concluded between the Client and Frame constitutes a hybrid contract combining:

  1. A service provision contract (contract for work), covering the authentication, evaluation, and grading of the Card;
  2. A paid deposit contract within the meaning of Articles 1915 et seq. of the French Civil Code, covering the physical custody of the Card during its stay on the Service Provider's premises.

The Card remains at all times the property of its owner. Frame acquires no ownership right over the Card and undertakes to return it upon completion of the Service, subject to the provisions of these GTC.

Article 4 — Conditions of access to the service

4.1 — Capacity and age

The Service is reserved for natural persons who are of legal age (18 years and older) and have full legal capacity. Creating an account requires the Client's express confirmation that they are at least 18 years old. No order may be placed by a minor.

4.2 — Consumer clientele (B2C)

As of the effective date of these GTC, the Service is exclusively open to consumers acting for purposes that do not fall within the scope of a commercial, industrial, craft, or professional activity.

Creating an account does not allow the entry of company information (company name, VAT number). In the absence of such information, the Client is deemed to be acting as a consumer and may not invoke professional status to circumvent the conditions of the Service. Any subsequent opening of the Service to professional clientele (B2B) will be governed by specific provisions.

4.3 — Accuracy of information

The Client warrants that all information provided when creating their account and their orders is accurate, complete, and up to date, in particular their delivery and billing addresses. Frame may not be held liable for the consequences of erroneous or incomplete information.

4.4 — Client warranties regarding the Cards

For each Card entrusted, the Client warrants:

Article 5 — Description of the service and price

5.1 — Purpose and process of the Service

5.1.1 — Content of the Service

The Service comprises, for each Card:

  1. the receipt and inspection of the Card;
  2. authentication and forensic evaluation;
  3. the assignment of a Grade;
  4. the generation of a certification identifier and the encoding of an NFC chip;
  5. the printing of the information label;
  6. the encapsulation of the Card in a sealed Case;
  7. the return of the certified Card to the Client.

5.1.2 — Process of the Service

For information purposes, the Service proceeds according to the following steps:

  1. Account creation — The Client creates their account by entering their email address and a password, then confirming their address by means of a one-time verification code sent to them by email.
  2. Order creation — The Client logs in to the platform and creates an order.
  3. Selection of Cards — The Client indicates the number of Cards to be graded (from one to ten), all linked to a single Video.
  4. Consent and age — The Client confirms their legal age and accepts these GTC as well as the legal information, then proceeds to payment.
  5. Secure payment — The Client is redirected to the Stripe platform to enter their payment information, then returns to the platform, where they can track the status of their order.
  6. Video upload — The Client uploads the Video. This upload constitutes an express request for immediate performance and marks the commencement of the Evaluation Phase (Article 5.3), entailing the consequences provided for in Article 10 regarding the right of withdrawal.
  7. Card information and segment selection — For each Card, the Client enters the descriptive information (card name, edition, year, serial number where applicable, type, opening date, opener's name) and selects the segment of the Video to be associated with the Card, of a usual duration between ten (10) and forty-five (45) seconds.
  8. Order validation — The Client validates their order. Validation requires that at least one Card has been entered and entails, in the event of partial shipment of the declared Cards, the consequences provided for in Article 6.4.
  9. Shipment or drop-off — The Client obtains their order form and the corresponding QR code, which they include with their package, then ships their Cards to the address indicated by Frame or drops them off in person, under the conditions of Article 9.1.
  10. Processing by Frame — Upon receipt, Frame registers the package, then processes the Cards one by one: inspection and validation, verification of the descriptive information and the Video segment, grading, printing of the label, encoding of the NFC chip, sealing of the Case, and return to the Client, provided that the Card is compliant and meets the minimum grading requirements (Article 13).

5.2 — Price

The price of the Service is €100.00 excluding tax per Card, plus VAT at the applicable legal rate (i.e. €120.00 including tax for delivery in France, at the rate of 20%). To this amount are added return shipping costs, the amount of which varies according to the country of destination and the number of Cards. The total amount including all taxes, shipping costs included, is displayed to the Client before the final validation of their order.

Prices are expressed in euros (EUR). Frame reserves the right to modify its prices at any time; the applicable price is the one in force on the day the order is validated, with orders in progress not being affected.

5.3 — Breakdown of the value of the Service

The parties expressly agree that the value of the Service is broken down as follows:

This breakdown serves as the basis for calculating the amounts due or refundable in the event of exercise of the right of withdrawal or cancellation, in accordance with Articles 10 and 11. Frame may only claim to retain the 60% portion in respect of the corresponding operations actually carried out.

5.4 — Complimentary orders

Frame may, on an exceptional basis and at its sole discretion, grant complimentary orders (free of charge, in the amount of €0.00). These orders, which give rise to no payment, do not confer the right of withdrawal provided for in Article L221-18 of the French Consumer Code. They otherwise remain governed by all of these GTC, in particular as regards custody, transport, and grading.

5.5 — Payment

Payment is made exclusively by bank card via the secure Stripe platform. The Service is only engaged after confirmation of payment. No bank details are retained by Frame.

Article 6 — Receipt and description of the cards

6.1 — Order form

For each Card, the Client enters in advance, in their account, the descriptive information (name, edition, year, type, serial number where applicable, opening date). The Client must include with their shipment the order form bearing the QR code generated by the platform.

6.2 — Compliant Cards

Only Cards actually declared and corresponding to the order form are covered by the contract. Any grading operation relates exclusively to these Cards.

6.3 — Undeclared or non-compliant items

Any item shipped to Frame without having been declared in an order, or not corresponding to the order form, is shipped at the sole risk of the sender. Frame assumes with respect to it no obligation of custody, grading, or preservation, and no liability whatsoever.

Frame may, at its sole discretion, either return such an item with the order or invite the Client to pay the return costs. Failing a response from the Client and payment of the return costs within a period of 30 days from notification, the item will be deemed abandoned and may be destroyed or discarded without compensation, in accordance with Article 14.

6.4 — Cards declared but not received (partial shipment)

Where the Client has validated an order for several Cards but does not ship all of the declared Cards, only the Cards actually received by Frame are subject to the Service.

For each Card declared and paid for but not received by Frame, the Client is automatically refunded 60% of the corresponding grading fees, with Frame retaining 40% in respect of the operations already engaged (Evaluation Phase, Article 5.3). The return shipping costs are not refunded, since Frame remains bound to return to the Client the Cards actually received and processed.

This partial refund occurs automatically upon Frame's validation of the Cards actually received.

Article 7 — Packaging of the cards (client's responsibility)

The Client is solely responsible for packaging their Cards before shipment. They undertake to comply with the following instructions:

Any failure to comply with these packaging instructions transfers to the Client the entire responsibility for damage suffered by the Card as a result of insufficient packaging.

The Client is strongly advised to film their packaging process.

Article 8 — Liability and coverage value

8.1 — Custody of the Card (paid deposit)

Throughout the duration of the Card's presence on its premises, Frame acts as a paid depositary and provides the care required for the custody of the Card. In the event of loss, theft, or damage to the Card occurring on its premises, and except in the cases of exemption provided for in Article 8.4, Frame will indemnify the Client up to the limit of the Coverage Value defined below.

8.2 — Coverage Value

Frame's liability for the loss, theft, or damage of a Card — whether occurring on its premises or during return transport — is limited to a fixed Coverage Value of €100.00 per Card.

The Client acknowledges and expressly accepts that this cap constitutes the maximum limit of the indemnification to which they may be entitled, per Card and per incident. It is up to the Client, if they deem it necessary, to take out at their own expense supplementary insurance covering the actual value of their Cards.

8.3 — Damage to the Case after delivery

Frame may not be held liable for damage to the Case occurring after the delivery of the certified Card to the Client, nor for damage to the sealed Card resulting from forced opening or damage to the Case.

8.4 — Exclusions of liability

Frame is not liable for:

Article 9 — Transport

The Cards are subject to two shipments: from the Client to Frame (outbound) and from Frame to the Client (return). The shipping costs are borne by the Client.

9.1 — Outbound transport (from the Client to Frame)

The Client ships their Cards by the means of their choice and under their sole responsibility. The risk of loss, theft, or damage rests entirely with the Client until the actual receipt of the package by Frame and its registration in the inventory system.

The Client is strongly advised to use a carrier offering tracking and insurance appropriate to the value of their Cards. As long as Frame has not confirmed receipt of the package, the shipment remains under the responsibility of the Client.

Since Frame's registered office is not a post office box, the Client may, subject to prior agreement from support (support@framegrading.com), drop off their Cards directly at the office. The drop-off is carried out exclusively by means of a sealed package, handed over in exchange for a signed receipt. Frame is not required to open the package or to inspect or validate the Cards in the presence of the Client. Failing prior agreement from support, the Cards may only be sent by post or by carrier.

The Cards must reach Frame within a period of sixty (60) days from the confirmation of the order. This period refers to the actual receipt of the Cards by Frame, and not to their date of shipment. It is up to the Client to ship their Cards early enough to allow for the delivery times of their carrier. As this period is very significantly longer than the fourteen (14) day withdrawal period, the latter has in any event expired by its term.

Failing receipt of the Cards by Frame within this period of sixty (60) days, the order will be automatically cancelled. Since the Card could not be shipped by the Client within the agreed period, and Frame having reserved its grading capacity and processed the Video, the entirety of the sums paid, including grading fees and return shipping costs, remains acquired by Frame.

The return shipping costs are retained in respect of the obligation of restitution that Frame keeps open: if the Card reaches Frame after the expiry of this period and the cancellation of the order, it will not be graded and will be returned to the Client at no additional cost, using the shipping costs already paid.

Frame maintains this return obligation for a period of one (1) year from the cancellation of the order. After this period without receipt of the Card, the obligation of restitution is extinguished and the shipping costs are definitively acquired by Frame. If, after receipt, the Card cannot be returned to the Client (in particular due to an incorrect address), it will be treated as an item deemed abandoned under the conditions of Article 14.

9.2 — Return transport (from Frame to the Client)

Frame ensures the return of the certified Card. Its liability for a loss, theft, or damage occurring during return transport is limited to the Coverage Value defined in Article 8.2.

9.3 — Client's obligations upon receipt (mandatory)

In order to preserve Frame's rights and their own, the Client is required, upon receipt of the return package, to:

  1. check the condition of the package in the presence of the delivery person;
  2. in the event of a damaged package or one that appears to have been opened, refuse the package or make precise handwritten reservations on the delivery slip (nature of the damage, apparent condition of the contents);
  3. notify Frame, at the address support@framegrading.com, within a period of 24 hours following delivery, enclosing: photographs of the package and its contents, a copy of the delivery slip bearing the reservations, a copy of an identity document, as well as a sworn statement.

Failure to comply with these obligations, which deprives Frame of any possibility of recourse, causes the financial consequences of the incident to fall upon the Client.

9.4 — Delivery address

Delivery is made to the address indicated by the Client at the time of the order. The Client is solely responsible for the accuracy of this address.

Any request to modify the address must be sent to support before shipment. Frame may, to the extent possible, grant such a request; however, a change of country of destination, having an impact on the price, VAT, and customs formalities, may require a new quote or even the cancellation of the order.

If the package is shipped to the address entered by the Client and that address turns out to be incorrect, or in the event of the Client's absence at delivery, any new shipment will constitute a separate shipment, billed to the Client. Failing communication of a valid address and payment of the reshipment costs, Article 14 (item deemed abandoned) applies.

9.5 — Neutrality of packages

For security reasons, return packages are neutral and bear no mention of their contents or value on the outer packaging.

Article 10 — Right of withdrawal

10.1 — Principle

In accordance with Article L221-18 of the French Consumer Code, the consumer Client has a period of fourteen (14) days from the conclusion of the contract to exercise their right of withdrawal, without having to justify their decision or bear any penalty, subject to the provisions below.

10.2 — Request for immediate performance and loss of the right of withdrawal

As the Service may be fully performed within a short time, the Client is invited, at the time of the order, to expressly request the commencement of the performance of the Service before the expiry of the withdrawal period, by means of a separate and unchecked checkbox, accompanied by the following statement:

"I expressly request that the performance of the Service begin immediately, before the expiry of the 14-day withdrawal period. I acknowledge and expressly accept that I will lose my right of withdrawal once the Service has been fully performed by Frame."

The upload of the Video by the Client constitutes an express request for immediate performance and marks the commencement of the Evaluation Phase (Article 5.3). The consent thus obtained is recorded and time-stamped.

If the Client does not make this request, their Order is kept without processing during the 14-day period, at the end of which performance may begin.

10.3 — Financial consequences of withdrawal

10.4 — Methods of exercise

The Client exercises their right of withdrawal by means of the online withdrawal function made available to them in their account, or by any unambiguous declaration sent to support@framegrading.com. An acknowledgment of receipt of the withdrawal is sent to them without delay on a durable medium.

Article 11 — Cancellation of the order (other than withdrawal)

Outside the period and conditions of the right of withdrawal, the Client may request the cancellation of their order, as long as it has not been confirmed for shipment (i.e. at the latest at the "Video validated" status).

In this case, and as a contractual provision, Frame refunds 60% of the grading fees as well as 100% of the shipping costs not yet incurred, retaining 40% of the grading fees in respect of the operations already engaged.

Beyond this stage, the Card possibly already being in transit or being processed, any cancellation request must be sent to support, which will assess the outcome.

Article 12 — Performance time

Frame undertakes to provide the Service, within the framework of a best-efforts obligation, within an indicative period of nine (9) months from the receipt of the Card.

If the Service were not provided within this period, for a cause other than a case of force majeure or an act of the Client, the Client could request the termination of the contract under the conditions of Articles L216-6 et seq. of the French Consumer Code, by written notice sent to support@framegrading.com. The Client would then be refunded at the latest within fourteen (14) days following the termination.

As delivery times depend in part on external providers (carriers), they are given for information purposes and may not engage Frame's liability in the event of an overrun not attributable to its fault.

Article 13 — Authentication, grading, and refund

13.1 — Nature of the Service and non-refundable character

The price paid by the Client remunerates the expert work of authentication, forensic evaluation, and labor, and not merely the material supply of the Case. Consequently, the price remains due and is non-refundable once the authentication and evaluation Service has been carried out, including where the Card cannot be encapsulated for the reasons set out below.

13.2 — Counterfeit or compromised Cards

Any Card identified as inauthentic, counterfeit, or structurally compromised (for example, two card fragments assembled together) will not be encapsulated. It will be returned to the Client as is, accompanied by a notice of rejection. The grading fees remain fully due.

13.3 — Altered, trimmed, or inked Cards

Any Card that has been subject to alteration intended to deceive (ink masking wear, scalpel trimming to modify centering, etc.) will be rejected and the fees retained.

13.4 — Non-standard, fragile, or dangerous Cards

Any Card presenting non-standard dimensions, a structurally compromised condition (a card held together by adhesive tape, for example), active mold, or presenting an unsanitary or dangerous character, may be excluded from the Service. The fate of such items is governed by Article 14.

13.5 — Final character of the Grade

The Grade results from an expert assessment, based on objective criteria but applied according to an expert evaluation. The Grade assigned is final and binding on the Client. The Client's disagreement with the Grade, the sub-grades, or the absence of assignment of a maximum grade, does not constitute a lack of conformity, a contractual breach, or a ground for refund. The Client expressly acknowledges that they may not contest the Grade obtained.

13.6 — Re-grading

Grading is final. A Client who wishes to have a Card re-graded must submit a new order, giving rise to a new price and a new certification identifier.

Frame may, at its sole and entire discretion, carry out a re-grading or a correction free of charge when it finds an error of its own making (Case or grading), only before the final sealing and shipment of the Card. This option is a matter for Frame's sole decision; the Client has in this respect no right to demand it.

Article 14 — Unclaimed, non-compliant, or dangerous items

14.1 — Unclaimed or non-compliant items

Where an item must be returned to the Client (in particular a rejected Card, a non-standard item, an undeclared item, or a return rendered impossible for lack of a valid address), Frame informs the Client and invites them to pay the return costs. Failing a response and payment within a period of 30 days from notification, the item is deemed abandoned and Frame may destroy it or dispose of it, without compensation.

14.2 — Storage fees

For bulky or non-standard items immobilizing storage space, Frame may charge, after the 30-day period referred to above, reasonable storage fees of €5.00 per week (standard-format item) or €15.00 per week (bulky or non-standard item), up to the limit of the Coverage Value of the item or €150.00, whichever is lower. The return of the item is subject to payment of these fees.

14.3 — Dangerous, unsanitary, or unlawful items

Any item presenting a biological, unsanitary, dangerous, or offensive character may be destroyed immediately, without notice and without compensation, for reasons of hygiene and safety; the cleaning or destruction costs may be billed to the Client.

Any item of an unlawful nature will be reported to the competent authorities, with Frame providing them its full cooperation.

Article 15 — Video, NFC chip, and verification page

15.1 — Client warranties regarding the Video

The Client warrants that they hold all rights to the Video they upload and that it does not infringe any third-party rights.

15.2 — License of exploitation

The Client grants Frame a non-exclusive, worldwide, free, and transferable license, authorizing it to host, reproduce, transcode, encode, extract one or more segments of the Video (or the Video in its entirety), and display them publicly, in particular on the Card's verification page.

This public display forms an integral part of the Service and constitutes an essential feature of it. It is maintained for as long as the certification of the Card is active (i.e. as long as it has not been revoked).

The Client selects, for each Card, the segment of the Video to be associated with the Card and displayed upon reading the NFC chip or on the verification page. The duration of this segment is bounded by minimum and maximum limits imposed by the platform (usually ten (10) seconds minimum and forty-five (45) seconds maximum), any selection outside these bounds being automatically blocked.

The Video, and the selected segment, must imperatively contain the moment of the opening of the Card, including the emotional moment attached to it. Frame reserves the right to modify the selected segment as well as the descriptive information entered by the Client, and to refuse the Card when the Video does not allow its link with the Card to be established, in particular when the Card does not appear in it.

The Client further authorizes Frame to use the Video and the segments for promotion and communication purposes, as well as for the improvement and development of its services, methods, and evaluation tools.

15.3 — Verification page

Reading the NFC chip of a certified Card provides access to certification information (Video segment, card name, edition, year, Grade, opening date, number of reads, certification status). Frame reserves the right to activate or deactivate public access to this information at any time.

The opener's name displayed is freely chosen by the Client and may be modified, Card by Card, before validation. The Client may include a pseudonym or their real name, at their convenience and under their sole responsibility. With the exception of the opener's name thus entered, no other personal data of the Client is made public. The processing of personal data is governed by the Privacy Policy.

15.4 — Withdrawal of the Video, non-conformity, and revocation

The Client warrants that they hold all necessary rights to the Video, in particular copyright, and that they have obtained, where applicable, the authorization of any identifiable person appearing in it under the right to their image.

Frame may, at any time and at its sole discretion, withdraw, unpublish, or delete all or part of the Video and the segment, and deactivate public access to the verification page, in particular when the Video:

In such a case, Frame may in addition revoke the certification of the Card at any time. The revocation entails invalidation of the certification and deletion of the associated Video, without compensation for the Client.

The Client may themselves request the withdrawal of their Video by writing to support@framegrading.com; they are informed that such a withdrawal may, depending on the case, entail the revocation of the certification of the Card(s) concerned, the Video constituting an essential feature of the Service.

15.5 — Retention and deletion of the Video

The "Uploaded Video" refers to the file transmitted by the Client, as submitted, whether or not it has already been compressed. This file is deleted thirty (30) days after the processing of the order.

The "Segment" refers to the part of the Video linked to the Card and retained for the purposes of certification. Where the uploaded Video itself corresponds to the segment, the entirety of this file is retained for this purpose.

The Client is advised to keep their source recording.

Article 16 — Intellectual property and photographs

All content on the site (text, graphics, logos, software) is the property of Frame or its partners and is protected by intellectual property law. Any reproduction, in whole or in part, is prohibited without authorization.

As part of the Service, Frame takes photographs of the Cards. The Client authorizes Frame to keep them and use them for purposes of evidence in the event of a dispute, training of its teams, as well as improvement and development of its services, methods, and evaluation tools. These photographs are kept for a period of up to ten (10) years. The aggregated or anonymized data derived from them may be kept without limitation of duration.

Article 17 — Non-affiliation clause

Frame is an independent service provider, with no connection to the publishers, manufacturers, or trademark holders of the graded Cards. The trademarks cited remain the exclusive property of their respective holders. The Service consists of an authentication and grading service, to the exclusion of any manufacture or marketing of collectible cards.

Article 18 — Force majeure

Frame may not be held liable for the non-performance or delay in the performance of one of its obligations resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code, in particular a disaster, casualty, transport strike, or exceptional circumstance beyond its control.

Article 19 — Personal data

Frame processes the Client's personal data in accordance with the General Data Protection Regulation (GDPR) and its Privacy Policy, incorporated into the "Legal Information" page accessible online, which describes in particular the purposes, retention periods, and rights of the Client.

Article 20 — Applicable law, mediation, and disputes

20.1 — Applicable law

These GTC are governed by French law. The reference language of the contract is French.

20.2 — Consumer mediation

In accordance with Article L612-1 of the French Consumer Code, the Client has the right to have free recourse to a consumer mediator with a view to the amicable resolution of a dispute between them and Frame, provided that they have first attempted to resolve it directly with Frame through a written complaint. The Client may refer the matter to the mediator designated by Frame:

CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice
14 rue Saint-Jean, 75017 Paris — Tel.: +33 1 89 47 00 14
Email: cm2c@cm2c.net — Website: https://www.cm2c.net

The Client may also use the European online dispute resolution platform: https://consumer-redress.ec.europa.eu

20.3 — Competent jurisdiction

Failing amicable resolution, any dispute relating to the validity, interpretation, performance, or termination of these terms will be brought before the competent courts under the conditions of ordinary law.

For non-consumer (professional) clients, any dispute will fall under the exclusive jurisdiction of the court in the district of Frame's registered office.

Article 21 — Acceptance by the client

By validating their order, the Client acknowledges having read and understood the entirety of these GTC and accepts them without reservation. This acceptance is evidenced by an electronic signature, which has, between the parties, the same value as a handwritten signature, and constitutes conclusion of the contract.
